1. Provider and scope

Your contracting party is Hamza Yagci, Kaiserebersdorfer Straße 222, 1110 Wien, Österreich, trading as Panthorys. Contact: info@panthorys.com. These terms apply exclusively to contracts with businesses acting in the course of their business activities (section 1 Austrian Commercial Code, UGB). Consumer contracts are not offered; business formation transactions legally treated as consumer transactions are excluded. Anyone placing an order must be authorized to represent the business.

Individually agreed services and variations take precedence over these terms. Conflicting customer terms apply only with Panthorys's express agreement. These B2B contracts do not provide a statutory consumer right of withdrawal.

2. Contract formation

The website describes our offer. The process is: select the Panthorys pilot, confirm business status and these Terms, proceed to Stripe, and review or correct payment and billing details. Stripe initially saves only a valid payment method; no payment, subscription or trial is started. After onboarding, configuration, preview and approval, Panthorys is installed on the agreed production domain. The first verified successful load there activates the tenant and starts the subscription with a 14-day free trial.

The contract language is German. Panthorys stores the accepted terms version in checkout metadata, but does not maintain a permanent customer archive of the full contract text on this website. The terms displayed before completion can be saved, printed or saved as a PDF in the browser. Before the binding Stripe order, input errors can be corrected by cancelling the Panthorys step or editing the fields on Stripe's page.

3. Scope of services

Panthorys configures and supports AI-assisted automation, particularly customer inquiries, lead qualification, appointment coordination and workflows. Setup includes the agreed company and industry configuration, questions and Human Handoff rules. The scope agreed before contract formation and the corresponding onboarding information determine the services.

Specific channels, integrations, usage limits and handoff methods are agreed before use. A demo does not make actual bookings or promise that every calendar, CRM, phone or messaging integration is included in the standard price. Additional integrations, extensions and third-party costs require prior agreement; providing onboarding information alone does not authorize chargeable additional work.

4. Setup, free pilot and prices

During the launch phase, no setup fee is charged. From live activation, the first 14 days of the subscription are free. Unless the customer cancels before the trial ends, ongoing service afterward costs EUR 249 per month for Austria, Germany and the EUR fallback, CHF 249 per month for Switzerland and USD 249 per month for the United States.

The company or billing country confirmed before checkout determines the pricing market and permitted currency. The EUR, CHF or USD amounts displayed in Stripe Checkout before the binding order are authoritative for that order; customers cannot freely select another currency.

The 14-day free trial begins only with the first server-verified successful load of the configured Panthorys widget on the approved production domain. Onboarding, configuration, preview and installation do not start the trial. Preview, test and unauthorized domains cannot trigger activation. Nothing is charged during the trial.

Unless the customer cancels before the 14-day trial ends, the subscription created at live activation automatically becomes paid after 14 full trial days and the first monthly fee is charged to the saved payment method. Monthly billing periods then apply, with the monthly fee due in advance at the start of each period.

Prices are stated in the applicable currency, plus VAT where legally applicable. Tax treatment and the final payable amount must be shown before the binding checkout completion. These terms do not claim any VAT exemption.

After setup approval, live activation is generally expected within seven days. If no valid load occurs on the approved production domain during that period, the pending activation expires without charge and must be reopened manually by Panthorys. The trial does not begin in that case.

5. Term and cancellation

The customer may cancel at any time before live activation and during the free trial. No subscription exists before activation; if cancellation is received before the trial ends, no monthly fee is charged. Without timely cancellation, the subscription continues automatically as a paid indefinite-term subscription after 14 full trial days and may then be cancelled at any time, effective at the end of the current billing period, without additional notice. Panthorys must receive cancellation before the next period begins.

An unambiguous email to info@panthorys.com identifying the business and contract is sufficient. Panthorys confirms the end date and stops Stripe renewal. Cancellation does not depend on that confirmation to take effect. Ordinary cancellation during a paid month does not result in a proportional refund for that month. Statutory warranty, restitution and damages rights remain unaffected.

Panthorys may terminate ordinarily at the end of a billing period with one month's notice. Either party may terminate for good cause; where a breach can be remedied, a reasonable opportunity to remedy it must generally be provided first.

6. Payment and late payment

Payments and recurring charges are handled through Stripe using the payment method selected at checkout. The customer must keep payment and billing information current. Late payment is governed by the statutory rules for business transactions, particularly sections 456 and 458 UGB where their conditions apply. Suspension for overdue payment follows notice and a reasonable additional payment period; justified objections will be considered.

7. Customer cooperation and permitted use

The customer supplies accurate company and service information, necessary approvals and an available human contact. The customer checks the configuration before production use and promptly reports changes, errors and inaccurate statements. Delayed cooperation may delay setup and live activation, but the 14-day trial begins only with the verified live load. CMS or hosting passwords are not requested for the standard loader installation. Variations must be expressly agreed.

The customer may provide only data and content they are entitled to use and disclose, and must ensure that their users receive necessary notices and give any required consent. Prohibited uses include unlawful content, spam, bypassing safeguards and processing particularly sensitive data without agreement. Credentials must be transmitted securely through agreed channels. Panthorys may proportionately restrict affected access in response to specific security or legal violations and will inform the customer where legally and technically possible.

8. AI, limitations and Human Handoff

AI outputs may be incorrect, incomplete or unsuitable. Panthorys does not guarantee any particular number or quality of leads, appointments or sales, or any specific revenue, savings or business results. Panthorys is required to provide the agreed service with reasonable care.

Human Handoff is provided for unclear requests, complaints, express requests for personal contact and agreed risk cases. Actual handling depends on the agreed channel and the availability of the designated contact; continuous human staffing is not included without a separate agreement. The customer must review relevant outputs before making legally or economically significant decisions. The solution does not replace professional advice and must not be used for solely automated decisions with significant effects without a separate assessment.

9. Availability, maintenance and defects

Panthorys aims to provide reliable operation. A particular uptime percentage, uninterrupted availability or fixed response time is promised only by separate agreement. Maintenance, network issues and outages at cloud, AI or payment providers may affect operation. Significant planned interruptions will be announced where possible. Panthorys takes reasonable steps to resolve disruptions.

Defects must be reported with sufficient detail, and Panthorys must be given a reasonable opportunity to remedy them. Statutory warranty rights remain in place. An outage at a service provider does not automatically release Panthorys from its statutory or contractual obligations.

10. Liability

Panthorys is liable under statutory law for damage caused intentionally or through gross negligence, personal injury and cases of mandatory statutory liability. In cases of slight negligence, Panthorys is liable for breaches of essential contractual duties that enable proper performance, limited to the foreseeable damage typical of the contract at the time it was concluded. Otherwise, liability for slight negligence is excluded to the extent permitted by law. Mandatory claims, particularly under Article 82 GDPR, are not limited. Contributory fault is governed by statutory law.

11. Data protection, confidentiality and usage rights

Panthorys uses external AI and cloud services, particularly OpenAI, and Stripe for payments. Website details are provided in the privacy notice. Before personal customer data is processed on the customer's behalf, a separate Article 28 GDPR processing agreement will define processing, subprocessors, safeguards, transfers and deletion. These terms do not replace that agreement.

Both parties must keep non-public business information and access credentials confidential. The customer retains rights to supplied content and permits its use only as necessary to perform the contract. The customer receives a non-exclusive right to use the agreed solution for the contract term; rights to general components and tools remain with their respective owners.

Before the contract ends, the parties may coordinate the return of required customer data. Return and deletion of personal data processed on behalf of the customer are governed by the processing agreement; statutory retention duties remain unaffected. Indefinite archiving after the contract ends is not owed.

12. Changes and governing law

Contract changes, additional services and price changes require agreement. Publishing a new version of these terms does not change existing contracts. Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory provisions remain unaffected. Court jurisdiction is governed by statutory rules.
